1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the website located at canyonstreamllc.com and any successor domain operated by Canyon Stream LLC (“Canyon Stream,” “we,” “us,” or “our”) (collectively, the “Site”).

By using the Site, you acknowledge that your use is subject to these Terms. If you do not agree to these Terms, please discontinue your use of the Site.

2. Description of the Site and Services

Canyon Stream provides project management, business operations, systems and automation, and related consulting services to businesses and organizations (“Services”).

Information available through the Site, including descriptions of our Services, experience, capabilities, and approach, is provided for general informational and marketing purposes only. Site content does not constitute a binding offer, professional recommendation, guarantee of availability, or guarantee of any particular outcome or result.

Any engagement for consulting Services is governed by a separate written agreement, proposal, statement of work, or other engagement document between Canyon Stream and the applicable client. If there is a conflict between these Terms and a separate client agreement, the separate client agreement will control with respect to that engagement.

These Terms do not govern the delivery of consulting Services, fees, payment obligations, project deliverables, confidentiality obligations, service standards, warranties, or ownership of client work product. Those matters are governed exclusively by the applicable written client agreement.

3. Eligibility and Authority

The Site is intended for adults and business or professional audiences.

By submitting information through the Site, you represent that:

  • You are at least 18 years old;
  • The information you provide is accurate to the best of your knowledge;
  • You have the legal authority to provide the information submitted; and
  • If you are acting on behalf of a business or organization, you have authority to act on its behalf in connection with your submission.

4. Permitted Use of the Site

Subject to these Terms, Canyon Stream grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for lawful personal or internal business purposes.

You agree not to:

  • Use the Site in violation of any applicable local, state, federal, national, or international law or regulation;
  • Submit false, misleading, fraudulent, defamatory, unlawful, or infringing information;
  • Impersonate another person or organization or misrepresent your identity, authority, or affiliation;
  • Submit information or materials that violate another person’s privacy, confidentiality, intellectual property, contractual, or other legal rights;
  • Attempt to gain unauthorized access to the Site, its servers, accounts, databases, networks, or connected systems;
  • Probe, scan, test, or attempt to circumvent the security or vulnerability of the Site without authorization;
  • Interfere with or disrupt the operation, availability, integrity, or security of the Site;
  • Introduce viruses, malware, ransomware, corrupted files, harmful code, or other destructive technology;
  • Use the Site to transmit spam, unauthorized solicitations, or other abusive communications;
  • Use automated means to access, scrape, extract, reproduce, copy, or index Site content in a manner that violates applicable law, disregards technical access controls, places an unreasonable burden on the Site, or is undertaken for an unauthorized commercial purpose; or
  • Assist or encourage another person to engage in prohibited conduct.

Generally recognized search engines may access and index the Site for ordinary search-engine purposes in a manner consistent with our technical instructions.

We may suspend, block, restrict, or terminate access to the Site where we reasonably believe that a person has violated these Terms, created a security or legal risk, disrupted the Site, or harmed Canyon Stream or another person.

5. Contact and Inquiry Forms

The Site may allow you to submit information through a contact or inquiry form. Information collected may include your name, company or organization, contact details, referral source, the type of assistance you are seeking, and a description of your project or business needs.

When you submit a form, Canyon Stream may collect and use the information you provide to review and respond to your inquiry and, where appropriate, follow up regarding our Services, as described in our Privacy Policy.

You are responsible for the accuracy of the information you submit and for ensuring that you have the right and authority to provide any information relating to another person, client, employee, business, or organization.

Please do not submit Social Security numbers, financial account credentials, payment card information, health information, passwords, trade secrets, or other highly sensitive, regulated, or confidential information through the Site unless Canyon Stream specifically requests that information through an appropriate secure method.

Submitting an inquiry or communicating with Canyon Stream through the Site does not create a client, consultant, fiduciary, confidential, advisory, or other professional relationship. A consulting relationship is formed only when Canyon Stream and the applicable client enter into a separate written agreement accepted by authorized representatives of both parties.

We are not obligated to accept, respond to, or pursue any inquiry or proposed engagement.

6. Intellectual Property

The Site and its content, features, and functionality are owned by Canyon Stream or its licensors and are protected by applicable copyright, trademark, trade dress, and other intellectual property laws.

Protected content may include:

  • Text and written materials;
  • Graphics, photographs, illustrations, and images;
  • Logos, names, trademarks, and branding;
  • Website design and layout;
  • The selection, arrangement, and presentation of Site content; and
  • Downloadable resources, templates, or materials made available through the Site.

You may view and print reasonable portions of Site content solely for your personal or internal business reference.

Unless Canyon Stream provides prior written permission, you may not:

  • Copy, reproduce, republish, distribute, license, sell, or commercially exploit Site content;
  • Modify, translate, adapt, or create derivative works from Site content;
  • Publicly display or perform Site content;
  • Remove or alter copyright, trademark, or other ownership notices;
  • Present Site content as your own;
  • Use Canyon Stream’s name, logo, branding, or trademarks; or
  • Use Site content to train, develop, or improve an artificial intelligence or machine-learning system for commercial purposes.

No rights are granted except those expressly stated in these Terms.

7. Third-Party Websites and Services

The Site may contain links to, embedded content from, or integrations with websites or services operated by third parties, such as LinkedIn, Google, form providers, scheduling tools, or other business platforms.

Canyon Stream does not own or control those third-party websites or services and is not responsible for their availability, content, accuracy, security, privacy practices, terms, or data-handling activities.

The inclusion of a third-party link or integration does not necessarily imply endorsement, sponsorship, approval, or affiliation.

Your use of a third-party website or service is subject to the terms and privacy policies of that third party and is undertaken at your own risk.

8. No Professional Advice or Reliance

Site content is provided for general informational purposes and does not constitute individualized legal, tax, accounting, financial, employment, cybersecurity, regulatory, or other licensed or regulated professional advice.

Although Canyon Stream provides business, operational, project-management, and systems-related consulting Services, information available publicly through the Site is not a substitute for advice tailored to your specific circumstances.

You are responsible for independently evaluating Site content and obtaining appropriate professional advice before acting or relying on information available through the Site.

9. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL PUBLICLY AVAILABLE CONTENT, INFORMATION, MATERIALS, FEATURES, AND FUNCTIONALITY PROVIDED THROUGH THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

CANYON STREAM DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

CANYON STREAM DOES NOT WARRANT THAT:

  • THE SITE WILL BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE;
  • DEFECTS OR ERRORS WILL BE CORRECTED;
  • THE SITE OR ITS SERVERS WILL BE FREE FROM VIRUSES OR HARMFUL COMPONENTS;
  • SITE CONTENT WILL BE COMPLETE, CURRENT, ACCURATE, OR SUITABLE FOR A PARTICULAR PURPOSE; OR
  • USE OF THE SITE WILL PRODUCE ANY PARTICULAR BUSINESS, FINANCIAL, OPERATIONAL, OR OTHER RESULT.

This Section applies only to the Site and publicly available Site content. Any warranties, commitments, representations, or service standards applicable to a consulting engagement are governed exclusively by the applicable written client agreement.

Some jurisdictions do not permit the exclusion of certain warranties, so some exclusions may not apply to you.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CANYON STREAM LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, GOODWILL, OR USE, ARISING OUT OF OR RELATING TO:

  • YOUR ACCESS TO OR USE OF THE SITE;
  • YOUR INABILITY TO ACCESS OR USE THE SITE;
  • YOUR RELIANCE ON SITE CONTENT;
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF INFORMATION TRANSMITTED THROUGH THE SITE;
  • THIRD-PARTY WEBSITES, SERVICES, CONTENT, OR CONDUCT; OR
  • ANY OTHER MATTER RELATING TO THE SITE.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ASSERTED, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF CANYON STREAM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, CANYON STREAM’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • ONE HUNDRED U.S. DOLLARS ($100); OR
  • THE AMOUNT, IF ANY, YOU PAID SPECIFICALLY TO ACCESS THE SITE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply only to use of the Site and do not modify any limitation of liability contained in a separate written client agreement.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Some jurisdictions do not permit certain limitations of liability, so some limitations may not apply to you.

11. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Canyon Stream LLC and its members, managers, officers, employees, contractors, representatives, and agents from third-party claims, liabilities, damages, judgments, losses, and reasonable costs and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • Your unlawful or unauthorized use of the Site;
  • Your material violation of these Terms;
  • Information or materials you submit through the Site;
  • Your infringement or violation of another person’s intellectual property, privacy, confidentiality, contractual, or other legal rights; or
  • Fraudulent, misleading, harmful, or unlawful conduct associated with your use of the Site.

This Section does not require you to indemnify Canyon Stream for claims resulting solely from Canyon Stream’s own unlawful conduct.

12. Site Availability and Changes

We may modify, update, suspend, withdraw, restrict, or discontinue any portion of the Site at any time, with or without notice.

We are not obligated to maintain any particular content, feature, functionality, resource, or level of Site availability.

We may also correct errors, omissions, or inaccuracies and update information on the Site without prior notice.

13. Governing Law and Venue

These Terms and any dispute arising out of or relating to the Site will be governed by the laws of the State of Utah, without regard to its conflict-of-laws principles.

Any legal action or proceeding arising out of or relating to the Site or these Terms must be brought exclusively in a state court located in the Utah county where Canyon Stream maintains its principal place of business or in the United States District Court for the District of Utah.

You consent to the personal jurisdiction and venue of those courts.

Nothing in this Section prevents Canyon Stream from seeking temporary, preliminary, or emergency injunctive relief in another court of competent jurisdiction where necessary to protect its intellectual property, systems, confidential information, or legal rights.

14. Changes to These Terms

We may revise these Terms periodically to reflect changes in the Site, our business practices, or applicable legal requirements.

Revised Terms become effective when posted to the Site unless a later effective date is stated. The “Last Updated” date at the top of the page will identify the most recent revision.

Your use of the Site after the effective date of revised Terms will be governed by the revised Terms.

15. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be modified only to the minimum extent necessary to make it enforceable or, if modification is not possible, severed from these Terms.

The remaining provisions will remain in full force and effect.

16. No Waiver

Canyon Stream’s failure or delay in enforcing any provision of these Terms does not waive its right to enforce that provision or any other provision later.

A waiver is effective only if it is in writing and authorized by Canyon Stream.

17. Assignment

You may not assign or transfer your rights or obligations under these Terms without Canyon Stream’s prior written consent.

Canyon Stream may assign or transfer these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, change of control, or similar business transaction.

18. Entire Agreement Regarding Site Use

These Terms constitute the entire agreement between you and Canyon Stream concerning your use of the Site and supersede prior discussions or understandings concerning Site use.

Canyon Stream’s collection and handling of personal information is described in the Privacy Policy.

These Terms do not replace, amend, or supersede any separate written agreement governing consulting Services.
